2022 Board Elections – Nominations and Voting Timeline

AustCham Korea is now seeking nominations for its 2022 Board of Directors Elections.

In accordance with the AustCham constitution and by-laws, Directors step down after two years and have the opportunity to re-nominate for election. A total of six (6) board positions are up for nomination at the upcoming election.

Nominations for the 2022 Board of Directors will be open between 12:00 AM on Thursday, November 11 and 11:59 PM on Friday, November 26, with the election scheduled to take place between Friday, December 3, 2021 and December 17, 2021. New Directors will formally commence their terms from the day of the Annual General Meeting (scheduled for Wednesday, February 9, 2022).

AustCham’s success depends on the participation of its members and we welcome nominations from across our membership so that the Board composition represents the interests of all members.

Eligible Candidates:
 
Eligible Candidates are defined as being AustCham Korea Members (being listed as a Company Member Representative of a Gold Sponsor, Silver Sponsor, Corporate Member or Individual Member), who have fully paid their 2021 AustCham Memberships fee.An Eligible Candidate can only be validly proposed by a Voting Member and be seconded by another Voting Member. Reciprocal nomination proposals are not permitted. Proposers should complete a copy of this Nomination Form during the nomination period.

By Law No. 14 In regard to ‘Role and Obligations of Directors’

Membership of the Board of AustCham confers a distinct set of responsibilities and obligations on the Directors, even more so on Office Bearers. There is a commitment of time and effort that goes with the role of Director and the Chamber can only function well against a background of energy and commitment from the Board as a whole.

  • Board meetings are held each month. Directors are expected to attend these meetings regularly. Directors who fail to attend three consecutive meetings or six meetings in total during a Fiscal Year may be asked to show cause why they should not be required to step down.
  • Directors are expected to serve on one or more of the functional committees or working groups and to actively contribute in performing the workload of these sub groups.
  • AustCham has a range of public functions and activities that require the support and attendance of the Board to promote the Chamber’s goals and maintain contact with Members. Member’s business networking and speaker functions all come under this heading and Directors are expected to attend these functions regularly.
  • A Director is expected to serve two Terms. This is a significant commitment and represents the undertaking of an obligation to Members of the Chamber and to other Directors. Candidates should examine their situation carefully to ensure that they can properly honour such an obligation.
  • Directors must keep any matter of a sensitive, commercial or confidential nature discussed at Board meetings, committee meetings, working group meetings and functions in confidence.

Nomination Process:

Eligible candidates are asked to complete an online nomination form, which includes their contact details, membership status, a brief bio, vision for AustCham and two nomination seconders from the AustCham Korea membership.

Nomination Period:
 
The Nomination Period will open on 12:00 AM on Thursday, November 11 and close at 11:59 PM on Friday, November 26, 2021. Nominations received after the Nomination Period will be deemed invalid. 

An independent balloting committee will screen nominations, confirm their validity, oversee the on-line election process, scrutinise votes and notify members of the results in accordance with the constitution.
